All content, materials, and intellectual property provided by Quorixium AS, including but not limited to reports, analyses, methodologies, and proprietary frameworks, remain the exclusive property of Quorixium AS. You may not reproduce, distribute, or create derivative works from our intellectual property without express written consent. This includes all copyrighted materials, trademarks, and proprietary business processes developed by our company.
We maintain strict confidentiality regarding all client information and business relationships. Similarly, you agree to maintain the confidentiality of any proprietary information, methodologies, or business practices disclosed to you during the course of our professional relationship.
Fees for our services will be agreed upon in writing before commencement of work. Payment terms are typically 30 days from invoice date unless otherwise specified. Late payment may result in suspension of services and may incur additional charges as permitted by Danish law.
To the fullest extent permitted by Danish law, Quorixium AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to our services. Our total liability for any claim shall not exceed the fees paid by you for the specific services giving rise to the claim. This limitation of liability applies regardless of the form of action, whether in contract, tort, or otherwise.
You agree to indemnify and hold harmless Quorixium AS, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.
Quorixium AS shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.
These Terms of Service shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the Danish courts, with venue in Aarhus, Denmark. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Either party may terminate the service agreement with reasonable notice as specified in the individual service contract. Upon termination, all obligations of confidentiality and intellectual property protection shall survive. You remain responsible for payment of all fees incurred prior to termination. We reserve the right to immediately terminate services in case of breach of these terms or non-payment of fees.
Quorixium AS reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall remain in full force and effect.
These Terms of Service, together with any specific service agreements, constitute the entire agreement between you and Quorixium AS regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
